Callbase Buyer Master Service Agreement
Effective Date: the date Buyer accepts this Agreement electronically via the Callbase platform.
This Master Service Agreement (“Agreement”) is entered into by and between:
Onboard Intent LLC, dba Callbase
3472 Research Parkway #8111 Ste 104
Colorado Springs, CO 80920
(“Callbase” or “Provider”)
and the individual or entity identified in Buyer’s Callbase account profile (“Buyer” or “Client”).
Collectively the “Parties” and individually a “Party.”
1. Purpose
This Agreement establishes the terms under which Callbase will provide inbound call generation and brokering services (“Services”) to Buyer. Specific campaign details (vertical, source, call type, minimum duration, daily cap, geographic targeting, and per-call price) are captured when Buyer orders a campaign through the Callbase platform; each accepted campaign order constitutes a Statement of Work (“SOW”) under and incorporated into this Agreement.
2. Services
2.1 Scope. Callbase shall generate and broker inbound phone calls (“Calls”) to Buyer in accordance with each SOW. All Calls MUST be routed through Callbase’s approved call tracking and routing platform (currently Retreaver). Direct routing of Calls to phone numbers, SIP trunks, or any non-approved platform is strictly prohibited and constitutes a material breach.
2.2 Performance Standards. Callbase will use commercially reasonable efforts to deliver Calls meeting the criteria of the applicable SOW.
2.3 Billable Call Definition. A “billable Call” is a completed inbound Call that:
(a) meets the targeting criteria of the SOW;
(b) routes through the approved platform;
(c) reaches Buyer’s designated transfer number or IVR;
(d) meets the minimum duration specified in the SOW;
(e) is not a duplicate, test, or fraudulent Call as defined in Section 13.
2.4 SOW Execution. An SOW becomes binding when Buyer places a campaign order through the Callbase platform and Callbase activates it. Changes to an active SOW must be mutually agreed in writing (in-platform messages and emails qualify).
2.5 Compliance. Callbase warrants the Services comply with the TCPA and FCC regulations, applicable state telemarketing and privacy laws, Do-Not-Call registry requirements, and applicable data-protection laws (including CCPA and, where applicable, GDPR). All Calls include the consent disclosures required by applicable jurisdiction.
2.6 Call Recording and Consent. Calls may be recorded for quality assurance and dispute resolution. Callbase warrants that all recordings include the consent disclosures required by applicable one- or two-party consent law.
2.7 Fraud Prevention. Callbase implements industry-standard fraud-detection measures including duplicate-call detection, velocity checks, caller-ID spoofing detection, bot/automated-call detection, geographic anomaly detection, and real-time pattern monitoring.
3. Term and Termination
3.1 Term. This Agreement begins on the Effective Date and continues until terminated.
3.2 Termination for Convenience. Either Party may terminate this Agreement or any SOW with fifteen (15) days’ written notice.
3.3 Termination for Cause. Either Party may terminate immediately upon written notice if the other Party materially breaches and fails to cure within fifteen (15) days of notice.
3.3.1 Immediate Termination Without Cure Period. Buyer remains liable for Calls already delivered. Suspension shall not exceed thirty (30) days unless legal proceedings are initiated.
3.4 Effect of Termination. Upon termination: (a) Buyer pays for all Services rendered through the termination date; (b) Buyer pays for all Calls delivered but not yet invoiced; (c) Callbase ceases Services within twenty-four (24) hours; (d) each Party returns or destroys the other’s Confidential Information; (e) Sections 4, 6, 7, 9, 10, 11, and 12 survive termination.

4.7.1 Chargebacks. Buyer shall not initiate chargebacks or payment reversals without first using the dispute process in Section 4.7. A chargeback initiated without prior notice will result in (a) immediate suspension, (b) prepayment requirement for future Services, (c) potential termination, and (d) Buyer liability for chargeback fees and legal costs.
4.8 Prepayment and Deposits. For new Buyers or Buyers with payment-history issues, Callbase may require prepayment, a deposit equal to fifteen (15) days of estimated Services, or increased payment frequency (daily vs. weekly).
